Position Summary
As the UAE establishes itself as a tokenization capital of the Middle East, this high-stakes remote legal position seeks a Senior Digital Custody & Asset Tokenization Counsel to shape the regulatory frameworks, compliance strategy, and legal documentation for tokenized real estate, equities, commodities, and funds — focusing primarily on compliance with ADGM, DIFC, and SCA standards.
This role serves as the cornerstone legal function for all initiatives tied to digital asset custody, on-chain settlement, and token lifecycle management, including utility and security tokens.
Key Responsibilities

Serve as lead legal strategist for tokenized asset platforms, offering end-to-end regulatory mapping across the lifecycle of security and utility tokens in the UAE.

Interpret and implement ADGM/DIFC laws governing VASPs, custodianship of digital securities, and real-world asset (RWA) tokenization.

Draft, negotiate, and maintain smart contract-compliant legal templates for token issuance, secondary trading, wallet escrow, liquidation rights, and redemption mechanics.

Advise technical teams on embedding legal logic into smart contracts, custody agreements, and investor onboarding terms.

Conduct comparative analysis between UAE regulations and EU MiCAR, US SEC digital asset rulings, and Singapore’s tokenization frameworks.

Advise on licensing strategies, regulatory sandbox participation, and custodial approval paths from VARA and other federal bodies.

Train UAE-based legal interns and in-house compliance teams on digital asset law and tokenized custody regimes.
Required Expertise

8–12 years of experience in securities law, digital asset compliance, or fintech legal advisory.

Extensive knowledge of UAE digital asset frameworks, especially across ADGM, DIFC, and VARA jurisdictions.

Previous legal leadership role in tokenization, digital custody, or blockchain settlement platforms.

Familiarity with Ethereum, Layer 2 protocols, and legal-tech platforms like Clause.io or OpenLaw.

JD or LLM required; UAE bar membership preferred; ILEX or Law Society of England & Wales equivalent considered.

Must have proven ability to write enforceable legal documents harmonized with self-executing smart contracts.
